Terms of Service

1. Agreement
These Terms of Service ("Terms") govern your purchase of Seedly Sites source code ("Product") and your use of the hosted Seedly Sites application ("Service"), both provided by Andrew Lee Jenkins LLC ("Company", "we", "us"). By purchasing the Product or using the Service, you agree to these Terms.
The Product is the Seedly Sites source code, its template packs, and the associated documentation (including the white-label documentation packs available to license holders), together with any later releases provided to license holders. Seedly Sites is an AI website builder and multi-tenant CMS that you deploy to build and host websites for your own business and your clients. The Product is sold as a one-time purchase of $1,199.
2. Source Code License Grant
Upon purchase of the Product, we grant you a perpetual, non-exclusive, non-transferable license to:
- Use, copy, and modify the source code
- Deploy the Product in unlimited personal and client projects
- Run unlimited client websites on your deployment of the Product
- Sell the sites you build and host, and sell your own clients access to their own sites on your deployment
- Build and sell your own add-on modules for the Product, as long as they do not include the source code or template packs, or any substantial part of them
- Rename the Product and run it under your own brand
- Let your employees and contractors work on your copy on your behalf
- Create derivative works for your own use or your clients' use
Documentation white-label license. For each product your license covers, we additionally grant you the right to rebrand, edit, and republish that product's documentation, including the white-label documentation packs available in your account, as the documentation for your own white-label offering built on your licensed copy. This grant covers the documentation only, not the source code, and only for products you hold a license for. Any copy of that documentation you publish on the openly reachable web must either carry a noindex directive or declare the matching original page on our site as its canonical URL. Documentation pages you substantially rewrite in your own words are your own content, and that condition does not apply to them.
3. Source Code Restrictions
You may not:
- Sell, give away, sublicense, publish, or otherwise make the source code or template packs, or any substantial part of them, available to anyone, in source or compiled form, original or modified, including releasing them as open source. This does not restrict hosting your deployment for your own clients and selling them access to their own sites, selling client sites, or working with contractors. Client sites may be published, exported, and handed over as described in Section 5. Add-on modules you write may be sold as long as they do not include the source code or template packs, or any substantial part of them
- Include the source code or template packs, or any substantial part of them, in a template, boilerplate, starter kit, or any other product whose buyers or users receive the code. This does not restrict client sites and site exports delivered as described in Section 5
- Provide, resell, host, or otherwise make access to your deployment available to another agency, reseller, or service provider so that it can build or host websites for its own clients. One license covers one agency. An agency that wants to run Seedly Sites for its own clients needs its own license, even if it pays you. The only exceptions are your own clients receiving their websites and logging in to edit their own sites, and contractors working on your copy for you
- Share your download link, license key, or the account you download the Product from with anyone outside your business, other than contractors working on your copy for you
- Transfer or assign your license to another person or company
- Remove, obscure, or alter the license file, copyright notices, or attribution comments in the source code
- Use our name, trademarks, or branding to promote your deployment, beyond saying where the software came from
- Claim ownership of the original, unmodified source code
4. Delivery
After payment, you will receive a license key and download link via email. The download link provides access to a ZIP file containing the complete source code, setup documentation, and license file. Downloads are limited to 5 per license key. License keys do not expire. If you run out of downloads, contact support for more.
5. Product-Specific Terms - Seedly Sites
The following terms apply specifically to Seedly Sites and how it is used after purchase:
- License File and Order of Precedence - The Product ships with a license file (LICENSE.md) that sets out in detail what you may and may not do with the Product, including its template packs and documentation. The license file and these Terms together form the agreement for Seedly Sites. If they conflict about what you may do with the Product, the license file controls, except for the documentation white-label license in Section 2, which these Terms grant and govern. If they conflict about anything else, these Terms control, including price, delivery, download limits, refunds and final-sale terms, and governing law.
- Client Sites on Your Deployment - You deploy the builder and CMS on infrastructure you control and host your clients' websites on that deployment. Your clients are your customers, not ours. You are responsible for the content published on sites hosted on your deployment, and the Company has no contractual relationship with your clients.
- Your Clients' Sites Belong to You and Them - The Company claims no rights in the websites, content, and site exports created on your deployment. They belong to you and your clients, divided however your own agreements say. They can contain small portions of the Product that published sites need in order to run, and you and your clients may use, host, copy, and hand over those portions as part of the sites, including when a client takes its site to other hosting. This does not permit extracting them to distribute the platform itself.
- Contractors - Your employees, independent contractors, and outside firms you engage may access, copy, and modify your copy of the source code solely to do work on your behalf. They receive no license of their own, may not keep or reuse the code once that work ends, and may not use it for anyone else. You are responsible for their compliance with the license.
- Support - Support is not included with the Product. There is a Seedly Community on Facebook where operators help each other, and questions sent to [email protected] may be answered as a courtesy, but neither is a service we are obliged to provide. Setup, custom development, and consulting are not included and may be offered separately.
- Availability and Changes - Features, pricing, and packaging may change over time. A price change never applies to a purchase you have already completed. Which version of the license file governs your license is set by the newest version of the license file we have made available to you with a release of the Product.
6. Hosted Service Terms
If you use a hosted Seedly Sites Service we operate (such as a live demo), as opposed to a deployment of the source code you run yourself, the following additional terms apply:
- Account Security - You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account
- Acceptable Use - You may not use the Service to send unsolicited messages (spam), store illegal content, or interfere with other users' access to the Service
- Your Data - You retain ownership of all data you enter into the Service. We do not claim any intellectual property rights over the data you store in the Service
- Data Processing - We process your data solely to provide the Service. We act as a data processor on your behalf for any customer data you store in the Service. See our Privacy Policy for details on sub-processors
7. Beta Program
If you participate in a beta or early access program, you acknowledge that:
- The Service may contain bugs, incomplete features, or unexpected behavior
- Features may be added, changed, or removed without notice
- We may collect feedback, screenshots, and usage data to improve the Service
- Beta access may be revoked at any time at our discretion
- We strongly recommend maintaining your own backups of critical data during the beta period
8. UK and EU Consumers - Right to Cancel
Under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 (UK) and the EU Consumer Rights Directive, you normally have a 14-day right to cancel a distance purchase. However, this right does not apply to digital content that has been accessed or downloaded.
By completing your purchase, you expressly consent to immediate delivery of the digital content (source code) and acknowledge that you lose your right to cancel once the download link is provided. This consent is obtained during the checkout process.
9. Ownership
Andrew Lee Jenkins LLC retains all intellectual property rights to the original source code and the Service. Your license grants usage and modification rights but does not transfer ownership of the underlying intellectual property.
10. No Warranty
The Product and Service are provided "as is" without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that the Product or Service will be error-free or meet your specific requirements.
11. Limitation of Liability
In no event shall Andrew Lee Jenkins LLC be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Product or Service. Our total liability shall not exceed the amount you paid for the Product.
12. Third-Party Services
The Product and Service integrate with third-party services (Stripe, Cloudflare, Railway, Google, etc.). Your use of those services is governed by their respective terms and pricing. We are not responsible for third-party service availability, pricing changes, or terms.
13. Updates
Fixes for critical issues, such as security vulnerabilities or defects that stop the Product from working, will continue to be released through the same download mechanism, at our discretion. We are not obligated to release new features or other updates, to follow any particular schedule, or to maintain backward compatibility. The hosted Service is updated continuously.
14. Termination
Your source code license terminates automatically if you materially breach the restrictions in Section 3 of the license file, which Section 3 above restates. It also terminates automatically if the amount paid for it is refunded in full, or if that amount is reversed in full because we lose a chargeback or other payment dispute over it. A partial refund of that amount, an open dispute, or a dispute we win does not end it. When it terminates, you must stop using the Product and destroy all copies in your possession, but websites and other client output already delivered to your clients before termination remain theirs as described in Section 5. We may end your access to a hosted Service if you violate these Terms, and your data there will be available for export for 30 days, after which it will be permanently deleted. Sections 5, 9, 10, 11, 12, and 15 survive termination.
We reserve the right to expire or revoke the license key of any party that violates these Terms, including anyone found selling, reselling, or otherwise distributing the Product's source code without our express written permission, and to refuse that party any further updates, downloads, or support. This is in addition to the termination described above and to any other remedy available to us.
15. Governing Law
These Terms are governed by the laws of the Commonwealth of Virginia, United States, without regard to conflict of law principles.
16. Affiliate Disclosure
Some links in our documentation, blog, and marketing materials point to third-party products and services. Certain of these are affiliate links, which means we may earn a commission if you sign up or make a purchase through them, at no additional cost to you. We only link to tools we use or recommend, and an affiliate relationship never affects the price you pay or the substance of our recommendations.

18. Payment Disputes
If something is wrong with your order, contact us at [email protected] first and we will work to fix it.
We keep records of your agreement to these Terms at checkout, your delivery and download history, and your license activity, and we provide them to your bank or payment provider if a charge is disputed.
